Terms of Use

1. Preamble and Acceptance of Terms

These Terms of Use (the "Terms") constitute a binding legal agreement between you (the "User" or "Client") and Eden AI Ltd. (the "Company"). By accessing or using the Eden platform (the "Service"), you expressly acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Service.

2. Account Registration and Security

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify the Company immediately of any unauthorized use of your account.

3. Permitted Use and Restrictions

The Service is provided solely for lawful business purposes. You hereby represent and warrant that you shall not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose, including but not limited to the dissemination of spam, phishing, or malicious content via WhatsApp.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Infringe upon the intellectual property rights of the Company or any third party.

4. WhatsApp Business Platform Terms

The Service integrates with the WhatsApp Business Platform. You explicitly agree to comply with WhatsApp's Business Terms of Service, Commerce Policy, and Business Solution Provider terms. You acknowledge that WhatsApp may limit, suspend, or terminate your access to their platform for violations of their policies, and the Company shall not be liable for any such actions.

5. Fees and Payment

Access to certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise stated. The Company reserves the right to change its price list and to institute new charges at any time, upon notice to you.

6. Intellectual Property Rights

The Company retains all rights, title, and interest in and to the Service, including all related intellectual property rights. You retain all rights to the data and content you upload to the Service ("User Data"). You grant the Company a worldwide, non-exclusive license to use, host, store, and display User Data solely for the purpose of providing the Service.

7. Disclaimer of Warranties and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.

8. AI-Generated Content Disclaimer

You acknowledge that the Service utilizes Artificial Intelligence ("AI") technologies to generate responses. The Company makes no representation or warranty regarding the accuracy, reliability, or suitability of any AI-generated content. You are solely responsible for reviewing, monitoring, and verifying all AI interactions with your end-users. The Company disclaims all liability for any errors, omissions, or offensive content generated by the AI.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

10. Termination

The Company may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. The competent courts of Tel Aviv-Yafo shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
